Terms of Service

By creating an account, signing in, or using any Swishr Desk service (the "Service"), you ("you", "user", "customer") agree to these Terms of Service. If you do not agree, do not use the Service.

These Terms form a binding agreement between you and Swishr Desk, operated from the United Arab Emirates ("we", "us").

Swishr Desk is an AI-powered platform for creating business documents (proposals, invoices, quotations, contracts, statements of work, retainer agreements, payment receipts, work orders), collecting e-signatures, taking payments via Stripe, and managing clients.

The Service is provided "as-is" and "as-available". We do our best to keep it up 24/7 but do not guarantee uninterrupted service.

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into binding contracts.

You agree to provide accurate, current and complete information about yourself and your business and to keep it up to date.

You are responsible for safeguarding your password. Use a strong, unique password. Enable two-factor authentication when we offer it.

You are responsible for all activity that occurs under your account. Notify us immediately via /contact if you suspect unauthorised access.

You may not share your account credentials. Team-seat features (on the Pro plan) are designed for legitimate team sharing.

Swishr Desk offers a free forever plan (no credit card required) and paid plans starting at $9/month.

Paid plans renew automatically at the end of each billing cycle. You can cancel any time from your billing settings.

We reserve the right to change pricing on 30 days' written notice. Existing subscriptions are honoured at the price you originally signed up at until your next renewal.

All fees are in USD unless otherwise noted. Local taxes (VAT, GST, sales tax) may apply and are added at checkout.

Refunds: we offer a full refund within 14 days of your first paid subscription. Beyond 14 days, refunds are at our discretion.

You agree NOT to use Swishr Desk to:

• Send spam, unsolicited emails, or messages to people who have not given you consent.

• Send fraudulent invoices, forged contracts, or any document misrepresenting your business.

• Generate documents that violate applicable law (e.g. invoices for illegal goods or services).

• Infringe on intellectual property — your documents must contain only your own (or properly licensed) content.

• Probe, scan or test the vulnerability of any system or network without our explicit written consent.

• Resell or sublicense access to Swishr Desk without written permission.

Violation of these rules may result in immediate account suspension with no refund.

You retain full ownership of all content you create on Swishr Desk — your documents, your client data, your brand assets, your generated text.

You grant us a limited, non-exclusive licence to host, process and display your content solely to provide the Service to you and the clients you choose to share documents with. This licence terminates when you delete the content or close your account.

We do NOT use your documents, client data, or AI prompts to train any AI model.

Swishr Desk uses third-party large language models (OpenAI GPT-4, Anthropic Claude) to generate document text from your prompts.

AI output is provided as a draft. You are solely responsible for reviewing every AI-generated document for accuracy, legal compliance, and fitness for purpose BEFORE sending it to a client.

We do not guarantee that AI-generated content will be free of errors, infringement, or hallucination. We strongly recommend human review of every contract before signing or sending.

Swishr Desk's e-signature feature meets the requirements of the UAE Electronic Transactions and Trust Services Law 2021, the EU eIDAS Regulation (simple electronic signature level), and the US ESIGN Act / UETA.

Both parties to a signed document receive a copy with a tamper-evident audit trail (signer IP, timestamp, browser fingerprint). This audit trail is admissible in most jurisdictions as evidence of consent.

We do NOT provide qualified electronic signatures (QES) or advanced electronic signatures (AES) under eIDAS. If your use case requires QES/AES, please use a specialised provider (e.g. DocuSign, Adobe Sign).

Swishr Desk integrates Stripe for payments, Resend for email, Cloudflare R2 for storage, and Google/OpenAI/Anthropic for AI. Your use of these features is also governed by those providers' respective terms.

We are not responsible for the availability, accuracy or content of any third-party service. We do our best to choose reliable partners but cannot guarantee their uptime or behaviour.

You can cancel your subscription or close your account at any time from your settings.

We may suspend or terminate your account if you violate these Terms, fail to pay, abuse the AI generator, or use the Service for unlawful purposes. We will give you reasonable notice when possible.

Upon termination, your data will be retained for 90 days to allow recovery, then irreversibly deleted (except where retention is legally required, e.g. tax records).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or harmful components.

Documents generated by Swishr Desk are NOT legal advice. For binding contracts, consult a qualified lawyer in your jurisdiction.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SWISHR DESK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES.

Our total cumulative liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold Swishr Desk harmless from any claim, damage, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your content, or your use of the Service in violation of any law.

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules.

Disputes that cannot be resolved informally will be heard exclusively in the courts of Dubai, UAE.

Nothing in this clause prevents either party from seeking injunctive relief in any jurisdiction to protect intellectual property.

We may update these Terms as our Service evolves. The "Last updated" date at the top of this page changes each time.

For material changes, we will email all active users at least 14 days before the change takes effect. Continued use of the Service after a change indicates acceptance.
